1. Agreement to Terms
By accessing or using the Evokoa operational intelligence platform (the "Service"), you agree to be bound by these Terms of Service. If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind such entity to these Terms. If you do not agree with any part of these Terms, you must not use the Service.
2. Provision of Service
Evokoa grants your organization a limited, non-exclusive, non-transferable right to access and use the Service for internal business operations. We reserve the right to modify or discontinue any aspect of the Service at any time, with reasonable notice provided to your account administrators.
3. Customer Data and Intellectual Property
You retain full ownership of all raw data, communications, and structures submitted to the Service ("Customer Data"). By using the Service, you grant Evokoa a worldwide, royalty-free license to use, process, and analyze the Customer Data strictly for the purpose of maintaining our computational graphs and providing the Service to you. Evokoa retains all intellectual property rights in the Service software and analytical models.
4. Acceptable Use Policy
You agree not to use the Service to process unlawful material or to infringe upon any third-party intellectual property or privacy rights. You further agree not to reverse-engineer, decompile, or attempt to extract the underlying source code or operational logic from the Evokoa platform.
5. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Evokoa Pte. Ltd. be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or operational continuity. Evokoa's aggregate liability arising out of these Terms shall not exceed the total amounts paid by your organization for the Service in the twelve (12) months preceding the claim.
6. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
